We also offer registered agent services as required by law in most jurisdictions.
Entity Express is not a law firm and does not offer legal, tax, or accounting advice. Our services are strictly administrative. Any guidance, explanation, or assistance we provide should not be construed as professional legal counsel. You are encouraged to consult with a licensed attorney or financial advisor for specific legal or financial questions pertaining to your business.
Our service consists solely of preparing documents based on information provided by you and submitting them to the appropriate state agency. We do not verify the accuracy, completeness, or legality of the information you submit, nor do we make any determination regarding the appropriateness of the selected business structure.
3. Eligibility
You must be at least 18 years of age and legally capable of forming a binding contract to use Entity Express services. By engaging with our services, you confirm that:
You are forming a business for lawful purposes;
You possess the authority to act on behalf of the business being formed;
All information you provide is accurate, complete, and up to date.
You are responsible for understanding and complying with all applicable state, local, and federal laws. Entity Express reserves the right to deny service, cancel orders, or terminate access if we suspect any activity that violates laws, these Terms, or general ethical standards.
4. Client Responsibilities
As a client of Entity Express, you bear full responsibility for the accuracy of the information you provide during the filing process. You acknowledge that:
You have reviewed and approved all information prior to submission;
You are responsible for understanding the tax implications and legal obligations of forming an entity;
You will maintain the compliance and good standing of your business after formation, including annual reports, tax filings, or other required documents.
Entity Express is not liable for missed deadlines, rejected filings, or legal consequences arising from incorrect or incomplete data supplied by you. You are also responsible for maintaining a current and functioning email address and telephone number for communication purposes.
5. Registered Agent Services
Entity Express offers registered agent services as part of your formation package. For a period of one (1) year, we will serve as your designated registered agent for the receipt of legal documents and official state correspondence.
During this period:
You authorize Entity Express to receive service of process on your behalf.
You agree to allow Entity Express to forward documents to you by email or secure delivery methods.
It is your responsibility to ensure your contact details are up to date to receive time-sensitive notices.
After the first year, registered agent services must be renewed annually at the then-current rate. Failure to maintain an active registered agent may result in penalties or dissolution by the state. We reserve the right to resign as registered agent if renewal is not completed within the required time.
6. Fees and Payments
All fees for services are due in full at the time an order is placed, unless otherwise specified in writing. Fees may include:
State-mandated filing fees;
Entity Express service fees for document preparation, handling, and processing;
Add-on services such as rush processing, EIN acquisition, or mail forwarding.
All payments are processed through secure third-party gateways such as Stripe or PayPal. Entity Express does not store your full payment details.
Once document preparation has begun or filings have been submitted, all payments are non-refundable. In cases of clear administrative error on our part, partial refunds may be issued at our sole discretion.
7. No Legal Advice
Entity Express is not a law firm. We do not provide legal representation or advice under any circumstances. The information provided on our website, through emails, or in response to your inquiries is for informational purposes only and is not intended to be a substitute for legal advice.

If Entity Express is found liable for any reason, our total liability shall not exceed the amount paid by you for the specific service in question.
10. Force Majeure
Entity Express shall not be held liable for any failure or delay in the performance of our obligations resulting from events beyond our control. These events include, but are not limited to:
Natural disasters or extreme weather conditions;
Acts of government or legal restrictions;
Labor strikes or supply chain disruptions;
Power outages, internet failures, or third-party service interruptions.
We will make reasonable efforts to resume services as soon as possible under such conditions.
11. Termination and Account Suspension
